Terms of Service

1. Acceptance of Terms

By creating an account, signing in, purchasing a subscription, or otherwise using lionspaw.ai or any Lion's Paw Academy product or service, you agree to be bound by these Terms of Service.

If you do not agree to these terms, do not use the platform.

2. The Service

Lion's Paw Academy provides educational content, software methodologies, downloadable codebases, prompts, AI agent configurations, community access, and related digital products ("the Service"). The Service is delivered online through lionspaw.ai and partner platforms including Whop, Discord, and Mux.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and notify us promptly of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these terms, including for abusive use, sharing of access credentials, redistribution of paid content, or chargeback abuse.

4. Intellectual Property

All content within the Service — curriculum, lesson recordings, codebases, prompts, agent configurations, written materials, methodology documents, and downloadable resources — is the intellectual property of Lion's Paw and is licensed to paying members for personal, non-redistributable use.

You may not: copy, redistribute, resell, sublicense, publicly post, screen-record, or share Academy content with anyone outside the platform without written permission. You may use the codebases and methodology in your own personal and commercial projects, but you may not republish the source materials themselves.

Open-source components (such as the Lion's Paw Runtime) are licensed under their respective open-source licenses (Apache-2.0). Those licenses govern those components only.

5. Billing and Subscriptions

Paid tiers are billed on a recurring basis (monthly, annually, or as one-time payments depending on the plan you select) through our payments provider, Whop. Prices are listed in US dollars unless otherwise specified.

By subscribing, you authorize us and Whop to charge your saved payment method on each renewal cycle until you cancel.

We reserve the right to change pricing for future billing periods with at least 30 days' notice. Existing subscribers will be notified by email.

6. Cancellation

You may cancel your subscription at any time through Settings → Subscription on lionspaw.ai or through your Whop account dashboard. Cancellation takes effect at the end of your current billing period. You will retain access until that date.

Cancellation does not entitle you to a refund of prior charges.

7. Refunds

All sales are final. See our full Refund Policy for the limited exceptions (duplicate charges, verifiable technical failures preventing access).

8. Chargebacks

Filing a chargeback or payment dispute after receiving access to the Service constitutes a breach of these Terms.

We will provide your card network and Whop with full evidence of access, including login records, content consumption history, download logs, and any other applicable records.

Accounts that initiate chargebacks may be permanently banned from Lion's Paw products and reported to applicable fraud-prevention services.

9. Acceptable Use

You agree not to: harass other members; share or sell your account access; redistribute paid content; reverse-engineer the platform; use the Service to violate any law; or use any automated means (bots, scrapers) to access the Service without prior written permission.

Violation of these rules may result in immediate, non-refundable termination of access.

10. Disclaimers

The Service is provided "as is" and "as available." We make no guarantees that you will earn any particular outcome (revenue, employment, certification, project success) from following the methodology. Outcomes depend on your effort and circumstances.

We do not guarantee uninterrupted access. Scheduled and unscheduled downtime may occur. We will work in good faith to restore access promptly.

11. Limitation of Liability

To the maximum extent permitted by law, Lion's Paw, its operators, and affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. Total liability for any direct claims is limited to the amount you have paid us in the 12 months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email and reflected in the "Last updated" date above. Continued use after changes take effect constitutes acceptance of the updated Terms.
